Your Responsibilities. You agree that Your licensing of or subscription to the Software is not contingent on the delivery of any future Upgrade, future functionality or features, or dependent on any oral or written public comments made by Ekahau regarding future Upgrades, functionality or features.
Limitations of Use. You will not and will not allow a third party to:. Third Party Use of Software Subcontractors. You shall ensure that such third party designated as an Authorized User complies with this Agreement and You agree that you are liable for any breach of this Agreement by that third party. No third party shall obtain or acquire any right, title, license or interest in or to the Software, including without limitation, the source code.
Upgrades and Additional Copies of Software. Notwithstanding any other provision of this Agreement, You are not permitted to Use Upgrades unless at the time of acquiring such Upgrades You:. Maintenance and Support. Limited Warranty. Ekahau warrants to the entity or individual that first purchases a License or Subscription for the Software for Use pursuant to the terms of this Agreement that the Software will substantially conform to the applicable Documentation for a period of ninety 90 days following the date the Software is made available to You for your Use.
Non-substantial variation of performance from the Documentation does not establish a warranty right. This warranty does not apply if the Software, Product s or any other equipment upon which the Software is authorized to be used: i has been altered, except by Ekahau or its authorized representative, ii has not be installed, operated, repaired, or maintained in accordance with instructions supplied by Ekahau, iii has been subjected to abnormal physical or electrical stress, abnormal environmental conditions, misuse, negligence or accident; iv is licensed or subscribed to for evaluating testing or demonstration purposes or other circumstances for which the Approved Source does not receive a payment of a purchase price or licensing fee, or v has not been provided by an Approved Source.
Ekahau will use commercially reasonable efforts to deliver to You Software free from any viruses, programs, or programming devices designed to modify, delete, damage or disable the Software or Your data.
You acknowledge and agree that not all Software features are supported across all hardware platforms. Exclusive Remedy. This remedy is conditioned on You reporting the non-conformance in writing to Your Approved Source within the warranty period.
This Section 18 is Your exclusive remedy under the warranty. Limitations and Exclusions of Liability. Term and Termination. This Agreement shall remain effective until terminated or until the expiration of the applicable License Term or Subscription Term.
In the event of termination or expiration of this Agreement for whatever reason, You and the Authorized User:. Subject to Your compliance with this Agreement, Ekahau grants to You the right to transfer your License or Subscription, as applicable, to the Software, provided that the Software was licensed from an Approved Source and You have purchased a Maintenance and Support Agreement then in effect, without interruption, from the activation date of Your License or Subscription.
Failure to maintain a continuous Maintenance and Support Agreement including Upgrades terminates the right of transfer granted in this Section Each License or Subscription may only be activated and used on or for a single device and therefore once a License or Subscription is transferred to a different device the Software must be deactivated on the original device.
Federal Government End Users. Ekahau provides the Software, Documentation and Product s that may be delivered to a federal government end user, for ultimate federal government end use, solely in accordance with the following Government technical data and the License or Subscription related to the Software and Documentation includes only those rights customarily provided to the public as specified in this Agreement.
If a government agency has a need for rights not granted under these terms, it must negotiate with Ekahau to determine if there are acceptable terms for granting those rights, and a mutually acceptable written addendum specifically granting those rights must be included in any applicable agreement.
Export Control. Ekahau Software, Products, technology and services are subject to local and extraterritorial export control laws and regulations. You and Ekahau each will comply with such laws and regulations governing use, export, re-export, and transfer of Software, products and technology and will obtain all required local and extraterritorial authorizations, permits or licenses.
You represent and warrant that You: i are not located in a country that is subject to U. Government embargo, or that has been designated by the U. Government list of prohibited or restricted parties.
If You learn of any violation of the above restriction, You will use reasonable efforts to promptly notify Ekahau. Data Processing Addendum. Marketing Materials. Any termination of this Agreement shall be without prejudice to the accrued rights of the parties under this Agreement.
All provisions of the Agreement which by their nature are reasonably intended to survive the termination of the Agreement shall survive such termination. Governing Law and Jurisdiction. If you acquired the Software from an Approved Source in a country or territory listed below, as determined by reference to the address on the Order Form or in the case of Evaluation Software, the address for which the Evaluation Software was registered, the table below identifies the applicable law that governs this Agreement without regard to any conflict of laws provision and the specific courts that have exclusive jurisdiction over any claim arising under this Agreement.
The parties agree to submit to the exclusive jurisdiction of the courts identified in the table set forth above for the resolution of all disputes. In addition, no person who is not a party to this Agreement shall be entitled to enforce or take the benefit of any of its terms under the Contracts Rights of Third Parties Act of Except as otherwise specified in this Agreement, shall be in writing and shall be made at the address of the receiving party set forth on an Order Form.
All notices by mail shall be by certified or registered mail, return receipt requested, or by nationally recognized private express courier, fees pre- paid, and shall be deemed complete upon receipt. Notices sent by e-mail shall be deemed complete upon receipt.
Language; Headings. English language shall govern all documents, notices and meetings as well as any actions and awards relating to this Agreement. The parties agree that the English version of this Agreement will govern in the event of a conflict between it and any version translated into another language. The captions to Sections in this Agreement do not form a part of this Agreement nor may they be used to assist in its interpretation.
